DoorDash is buying Instacart for $65 a share, an equity value of about $17 billion, in a deal that would bring the largest U.S. food delivery app together with the grocery service that partners with nearly 100,000 stores. The price is a 26% premium to Instacart’s close on Oct. 22, the last trading day before reports of the talks surfaced.
The two companies announced the definitive agreement Thursday morning, alongside third-quarter results from both. At least 75% of the payment will be cash. Instacart holders can choose $65 in cash, 0.3372 DoorDash shares, or a mix of $48.75 in cash and 0.0843 shares, with stock capped at 25% of the total, per DoorDash’s filing with the SEC . Instacart’s board approved the deal unanimously, and holders of about 19% of its shares have agreed to vote for it.
WebProNews reported last week that Instacart had held early sale talks with Uber and DoorDash.
